1. Acceptance of Terms

By accessing or using TikkBay ("the Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

These Terms constitute a legally binding agreement between you and TikkBay. By using our services, you represent that you are at least 18 years of age or have the consent of a parent or guardian.

Your continued use of the Platform following any modifications to these Terms constitutes acceptance of those changes.

2. Definitions

For the purposes of these Terms:

• "Platform" refers to the TikkBay website, mobile applications, and all related services.
• "User" refers to any individual or entity that accesses or uses the Platform.
• "Organizer" refers to any User who creates and manages events on the Platform.
• "Attendee" refers to any User who purchases tickets or registers for events.
• "Event" refers to any gathering, function, or occasion listed on the Platform.
• "Ticket" refers to the digital or physical proof of registration or admission to an Event.

3. Our Services

TikkBay provides an online platform that enables Organizers to create, promote, and manage events, and enables Attendees to discover and purchase tickets to those events.

Our services include but are not limited to:

• Event creation and management tools
• Ticket sales and distribution (including group tickets and dual currency pricing)
• Payment processing via Paystack and Flutterwave
• QR code ticket validation (online and offline scanning)
• Analytics, reporting, and attendee management
• Virtual event hosting support (Zoom, Google Meet, Teams, YouTube Live, X Spaces, Instagram Live)
• Email and WhatsApp marketing campaign tools
• Service provider marketplace (vendor discovery, escrow payments, messaging)
• Budget and event planning tools
• AI-powered chatbot support
• Partner referral program

TikkBay acts as an intermediary between Organizers and Attendees. We are not the organizer of any events listed on the Platform unless explicitly stated.

4. User Accounts

To access certain features of the Platform, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

5. Event Organizers

As an Event Organizer, you agree to:

• Provide accurate and complete information about your events
• Comply with all applicable laws and regulations
• Obtain all necessary permits, licenses, and insurance for your events
• Honor all tickets sold through the Platform
• Communicate any changes or cancellations to Attendees promptly
• Not engage in fraudulent or deceptive practices

Organizers are solely responsible for the events they create and any disputes with Attendees regarding those events.

5.1 Emergency account assistance

Subject to applicable law, by accepting these Terms you authorize TikkBay to provide limited emergency assistance where an event's operation or ability to accept payments is materially affected and the Organizer is unavailable or has not responded to reasonable contact attempts. Where delay would materially worsen the issue, we may make the necessary correction without seeking separate approval for that particular intervention.

Only a TikkBay super administrator may use platform-wide managed access to an Organizer workspace. They act under their own staff identity. This does not change the permissions that an Organizer gives to its own team or the limited administrative duties assigned to other TikkBay staff.

Emergency assistance may include correcting payment configuration, adding or reconnecting a payout account using reliable information supplied by the Organizer, or restoring a previously verified destination. TikkBay will record the reason, contact attempts, source of financial details, staff identity and changes made, and notify the Organizer's account owners of financial configuration changes. Account owners can review these changes and report an error through support.

This authority is limited to necessary corrections. It does not permit TikkBay to invent payout details, redirect earnings to an unrelated beneficiary, bypass identity or bank verification and override payout holds.

6. Ticket Purchasers

As a ticket purchaser, you acknowledge and agree that:

• You are purchasing tickets from the Event Organizer, not from TikkBay
• TikkBay is not responsible for the quality, safety, or legality of events
• You must comply with the Organizer's event policies and rules
• You are responsible for safeguarding your tickets and QR codes
• Reselling tickets may be prohibited by the Organizer

7. Payments & Fees

TikkBay charges service fees for paid ticket sales. The current fee structure is:

Payment processing costs from our payment partners, including Paystack, Flutterwave, Stripe, and Monnify where enabled, vary by market and payment method and are reconciled separately in organizer earnings and payout reporting. A purchaser owes only the final amount displayed by the checkout quote.

Eligible sales can be paid out before an event takes place. Payout timing depends on your payment provider, available funds, chosen schedule, verification and any applicable holds. A scheduled payout date is not a guaranteed bank arrival date. For TikkBay-managed bank or mobile money payouts, the platform default is weekly on Fridays. Custom schedules include daily on weekdays, weekly, every two weeks and monthly. Weekend processing moves to a weekday. For Stripe-connected accounts, the platform default is daily; daily, weekly, every two weeks and monthly options are available in Payouts. Payouts require a verified destination and eligible, settled funds. Applicable minimums, verification requirements, refunds, disputes, reserves and account restrictions can reduce or delay a payout. Your dashboard shows the requirements and amounts for your payment route and currency. TikkBay reserves the right to hold payouts in cases of suspected fraud or Terms violations.

Free events incur no platform fees.

8. Refunds & Cancellations

Refund policies for attendee-requested cancellations are determined by individual Event Organizers. Organizer-cancelled events use TikkBay's tracked cancellation and refund workflow.

Important: When an Organizer cancels an event through TikkBay, every real captured payment enters a full-refund operation for the amount collected from the buyer, including applicable tax and any buyer-paid service fee. For other refunds, the service fee is normally retained unless applicable law requires otherwise.

Event cancellation invalidates active passes immediately. Refund completion is recorded and communicated separately after provider confirmation or verified manual evidence. The buyer's bank or payment method controls when confirmed funds appear.

9. Acceptable Use

You agree not to use the Platform to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Post false, misleading, or fraudulent content
• Distribute malware or engage in hacking activities
• Scrape, harvest, or collect user data without consent
• Interfere with the proper functioning of the Platform
• Create events for illegal activities

10. Intellectual Property

The Platform and its original content, features, and functionality are owned by TikkBay and are protected by international copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our services or software without our express written permission.

Content uploaded by users remains the property of the respective users, but you grant TikkBay a license to use, display, and distribute such content in connection with our services.

11. Limitation of Liability

To the maximum extent permitted by law, TikkBay shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill.

TikkBay is not responsible for:

• The conduct of Organizers or Attendees
• The quality, safety, or legality of events
• Event cancellations or changes
• Third-party payment processing issues

Our total liability shall not exceed the amount of fees paid by you to TikkBay in the twelve months preceding the claim.

12. Termination

We may terminate or suspend your account and access to the Platform immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination, your right to use the Platform will cease immediately. If you wish to terminate your account, you may do so by contacting us.

Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on this page and updating the "Last updated" date.

Your continued use of the Platform after any changes constitutes acceptance of the new Terms. We encourage you to review these Terms periodically.
