By accessing or using TikkBay ("the Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

These Terms constitute a legally binding agreement between you and TikkBay. By using our services, you represent that you are at least 18 years of age or have the consent of a parent or guardian.

Your continued use of the Platform following any modifications to these Terms constitutes acceptance of those changes.

For the purposes of these Terms:

• "Platform" refers to the TikkBay website, mobile applications, and all related services.
• "User" refers to any individual or entity that accesses or uses the Platform.
• "Organizer" refers to any User who creates and manages events on the Platform.
• "Attendee" refers to any User who purchases tickets or registers for events.
• "Event" refers to any gathering, function, or occasion listed on the Platform.
• "Ticket" refers to the digital or physical proof of registration or admission to an Event.

TikkBay provides an online platform that enables Organizers to create, promote, and manage events, and enables Attendees to discover and purchase tickets to those events.

Our services include but are not limited to:

• Event creation and management tools
• Ticket sales and distribution (including group tickets and dual currency pricing)
• Payment processing via Paystack and Flutterwave
• QR code ticket validation (online and offline scanning)
• Analytics, reporting, and attendee management
• Virtual event hosting support (Zoom, Google Meet, Teams, YouTube Live, X Spaces, Instagram Live)
• Email and WhatsApp marketing campaign tools
• Service provider marketplace (vendor discovery, escrow payments, messaging)
• Budget and event planning tools
• AI-powered chatbot support
• Partner referral program

TikkBay acts as an intermediary between Organizers and Attendees. We are not the organizer of any events listed on the Platform unless explicitly stated.

To access certain features of the Platform, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

As an Event Organizer, you agree to:

• Provide accurate and complete information about your events
• Comply with all applicable laws and regulations
• Obtain all necessary permits, licenses, and insurance for your events
• Honor all tickets sold through the Platform
• Communicate any changes or cancellations to Attendees promptly
• Not engage in fraudulent or deceptive practices

Organizers are solely responsible for the events they create and any disputes with Attendees regarding those events.

As a ticket purchaser, you acknowledge and agree that:

• You are purchasing tickets from the Event Organizer, not from TikkBay
• TikkBay is not responsible for the quality, safety, or legality of events
• You must comply with the Organizer's event policies and rules
• You are responsible for safeguarding your tickets and QR codes
• Reselling tickets may be prohibited by the Organizer

TikkBay charges service fees for paid ticket sales. The current fee structure is:

Payment processing fees from our payment partners (Paystack, Flutterwave) are additional and vary based on the payment method used.

Organizers receive payouts on a weekly basis by default, or on a custom schedule (weekly, biweekly, or monthly) to their registered bank accounts. TikkBay reserves the right to hold payouts in cases of suspected fraud or Terms violations.

Free events incur no platform fees.

Refund policies are determined by individual Event Organizers. TikkBay does not guarantee refunds for any ticket purchases.

Important: Service fees charged by TikkBay are non-refundable, even if a refund is issued for the ticket price. This applies regardless of whether a discount code was used at checkout.

If an event is cancelled by the Organizer, Attendees may be entitled to a refund of the ticket price (excluding service fees) at the Organizer's discretion.

You agree not to use the Platform to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Post false, misleading, or fraudulent content
• Distribute malware or engage in hacking activities
• Scrape, harvest, or collect user data without consent
• Interfere with the proper functioning of the Platform
• Create events for illegal activities

The Platform and its original content, features, and functionality are owned by TikkBay and are protected by international copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our services or software without our express written permission.

Content uploaded by users remains the property of the respective users, but you grant TikkBay a license to use, display, and distribute such content in connection with our services.

To the maximum extent permitted by law, TikkBay shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill.

TikkBay is not responsible for:

• The conduct of Organizers or Attendees
• The quality, safety, or legality of events
• Event cancellations or changes
• Third-party payment processing issues

Our total liability shall not exceed the amount of fees paid by you to TikkBay in the twelve months preceding the claim.

We may terminate or suspend your account and access to the Platform immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination, your right to use the Platform will cease immediately. If you wish to terminate your account, you may do so by contacting us.

Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on this page and updating the "Last updated" date.

Your continued use of the Platform after any changes constitutes acceptance of the new Terms. We encourage you to review these Terms periodically.
